If you filed a Form 7004 extension in April, your Form 5472 deadline is October 15. That is not a soft deadline. Missing it by one day triggers the same $25,000 automatic IRS penalty as missing the April deadline.

Who This Affects

This deadline applies to you if:

  • You own a foreign-owned U.S. single-member LLC or C-corporation

  • You filed Form 7004 before April 15, 2026 to request a 6-month extension

  • You have not yet filed your Form 5472 and pro forma Form 1120 for tax year 2025

The extension moved your deadline from April 15 to October 15. That is the final deadline — there is no second extension available for Form 5472.


October 15 is a hard stop. The IRS does not offer a second extension for Form 5472. If you miss October 15, the penalty is automatic — $25,000 per form, assessed before any human reviews your case.


What You Need to File by October 15

Form 5472 for a foreign-owned single-member LLC cannot be filed alone. Two documents must be submitted together:


Document 1

Form 5472

Reports all reportable transactions between you and your U.S. LLC during tax year 2025. This includes capital contributions, distributions, registered agent fees paid from your personal account, loans, service payments, and any other transfers between you and the company.


Document 2

Pro forma Form 1120

A simplified corporate return that serves as the carrier document for Form 5472. For a foreign-owned disregarded entity, this form is not a full tax return — it exists solely to attach Form 5472. It must be prepared correctly or the entire filing can be rejected.

Both documents must be submitted together as a single package by October 15, 2026.



How to Submit — IRS Fax or Mail Only

Form 5472 for a foreign-owned disregarded entity cannot be e-filed. The IRS requires one of two submission methods:


Method 1 — Recommended

Fax to IRS Ogden PIN Unit

Fax number: 855-887-7737. Scan at 300 DPI minimum. Keep the fax confirmation with timestamp as proof of submission. This is the faster method and provides immediate confirmation.


Method 2

Certified Mail to IRS Ogden

Address: Internal Revenue Service, 1973 Rulon White Blvd, M/S 6112, Attn: PIN Unit, Ogden, UT 84201. Use certified mail with return receipt. Allow sufficient time for delivery before October 15 — do not mail in the final days before the deadline.

What Happens If You Miss October 15

The IRS penalty for a late or incomplete Form 5472 is $25,000 per form, per year. It is automatic — generated by IRS systems when a late return is processed, before any human reviews the filing.


If the IRS sends a notice and the filing remains outstanding for more than 90 days, additional $25,000 penalties apply for each 30-day period that follows. There is no cap.

There is no grace period after October 15. If your filing arrives on October 16, the penalty applies.



What If You Never Filed Form 7004 in April?

If you did not file a Form 7004 extension request before April 15, 2026, you do not have the October 15 extended deadline. Your filing was due April 15 — and it is now late.


Being late does not mean the situation is unrecoverable. It does mean you need to act differently:

  • Do not file the late Form 5472 without a Reasonable Cause statement. When a late Form 5472 arrives at the IRS, automated systems immediately generate a $25,000 penalty notice. Filing without a professionally prepared Reasonable Cause statement means almost certain penalty assessment.

  • File all missing years together. If you missed more than one year, all delinquent returns must be prepared and submitted as a coordinated package using DIIRSP procedures.

  • Act now — the penalty clock is running. Every month you wait adds to the exposure. The sooner you file, the better your abatement case.
