Florida is the fourth most popular U.S. state for non-resident LLC formation — after Wyoming, New Mexico, and Delaware. It offers no state income tax, a large and active business community, and easy access to U.S. banking. For non-residents with actual physical operations, employees, or clients in Florida, it is the natural choice.


For non-residents with no Florida connection, Wyoming or New Mexico will almost always serve better at lower cost. Who Should Form a Florida LLC

Form in Florida if:

You have a physical office, warehouse, store, or employees in Florida. Florida is the logical state when your business actually operates there.

Most of your U.S. clients or customers are in Florida. Local business credibility is stronger with a Florida entity for Florida-based relationships.

You plan to spend significant time in Florida yourself and want your business registered where you will be physically present.

Do NOT form in Florida if:

On pure cost, Florida ranks third of the four states — more expensive than Wyoming and significantly more than New Mexico, but cheaper than Delaware for most LLCs. Florida Annual Report — What It Is and When It Is Due

Florida requires every LLC to file an Annual Report with the Florida Division of Corporations each year. This is separate from any tax filing. The report confirms the LLC's registered agent information, principal office address, and manager or member names.


Fee: $138.75/year (fixed, regardless of company size or revenue)


Due date: May 1 each year. A $400 late fee applies if filed after May 1. The LLC is administratively dissolved if the annual report is not filed by the third Friday in September.


What is disclosed: Registered agent name and address, principal office address, and the names and addresses of managers or members. Florida's disclosure requirements are more extensive than Wyoming's — a consideration for non-residents who value privacy.


Important: The $400 late fee for missing the May 1 annual report deadline is significant. Unlike the IRS Form 5472 penalty which is $25,000, the Florida late fee is manageable — but the administrative dissolution risk if the report is not filed by September is serious. Florida LLC and IRS Tax Obligations

Florida has no state income tax — which is a genuine advantage for U.S. residents living and working in Florida. For non-U.S. residents operating a Florida LLC with no Florida-source income, this benefit is largely irrelevant. You were already not subject to Florida state income tax.


Form 5472 — the federal obligation that applies to every Florida LLC

Every foreign-owned U.S. single-member LLC — including Florida LLCs — must file Form 5472 and a pro forma Form 1120 with the IRS by April 15 each year. This is a federal requirement under Treasury Regulation §1.6038A-1 that applies regardless of Florida state law or Florida's lack of state income tax.


The penalty for failing to file is $25,000 automatic per year under IRC Section 6038A(d)(1). Florida's annual report filing with the state is a separate obligation and does not satisfy or replace the Form 5472 federal filing requirement.


Florida LLC and U.S. nexus

This is particularly important for Florida LLCs. If you form a Florida LLC and you or your employees are physically present in Florida, conducting business in Florida, or have a Florida office or warehouse, your LLC may have U.S. nexus — which means it may owe U.S. income tax, Florida sales tax, or other state tax obligations.

Florida LLC Privacy

Florida provides less privacy than Wyoming or New Mexico. The Florida annual report requires disclosure of the registered agent, principal office address, and the names and addresses of the LLC's managers or authorized persons.
