Which state should a non-resident choose?
There is no single best state. Choose the state that fits the business:
Wyoming: no state income tax, strong privacy, $60 minimum annual report. The most common choice for online businesses.
New Mexico: no annual report and no annual state fee. The lowest ongoing cost.
Delaware: preferred by investors, with a $300 annual LLC tax due June 1.
Florida: a good fit when you have a real US presence there.
If the business actually operates in another state, forming elsewhere does not remove that state's registration or tax rules.
EIN without an SSN: what to expect
Non-residents cannot use the IRS online EIN application. The application is filed by fax or phone with Form SS-4, and fax requests usually take a few weeks. The IRS requires the real owner as the responsible party, so avoid any service that offers to apply through a nominee.
Banking: an LLC is not a bank account
No formation company controls a bank's decision. Banks review your country, identity, business model, website and expected transactions. A good service helps you prepare a strong application. Be careful with any service that "guarantees" approval.
Form 5472: the obligation most services leave out
A single-member LLC owned by a non-US person must file Form 5472 with a pro forma Form 1120 for any year with reportable transactions.
